1. Introduction & Acceptance of Terms

By accessing or using Grantverse ("the Platform"), operated by Grantverse OÜ, a company registered in Estonia, you agree to these Terms of Service. These Terms constitute a legally binding agreement between you ("you", "your") and Grantverse OÜ ("we", "us", "our").

If you do not agree, do not use the Platform.

By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Grantverse is a platform designed to help startups optimise their funding strategy and connect with capital sources. Our services include:

• Capital Stack Optimisation: Tools to help you plan and optimise your funding mix across grants, revenue-based financing, and equity.
• Readiness Scoring: Assessments and scoring to help you understand and improve your funding preparedness.
• Opportunity Matching: Data-driven identification and recommendation of relevant funding Opportunities based on your company profile and eligibility.
• Dilution Scenario Modelling: Tools to model and visualise how different funding strategies may affect your equity ownership over time.
• Investor-Startup Matching: Algorithmic matching between startups and investors based on mutual criteria, preferences, and compatibility.
• Legal Template Library: Access to a library of legal document templates for common startup needs, including term sheets, NDAs, and corporate governance documents.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where practicable.

3. User Accounts

To access certain features of the Platform, you must create an account. You must be at least 18 years of age to create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration and keep your profile information up to date.
• Maintain the security and confidentiality of your account credentials, including your password.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at contact@grantverse.io if you suspect any unauthorised access to or use of your account.
• Not share your account credentials with any third party or allow others to access your account.

3.1 Account Types

The Platform offers two primary account types:

• Startup Accounts: For companies seeking funding optimisation, Opportunity discovery, and investor connections.
• Investor Accounts: For investors seeking to discover and connect with startups that match their investment criteria.

3.2 Data Sharing Between Matched Parties

When a match is made between a startup and an investor, certain profile information may be shared with the matched counterparty in accordance with our Privacy Policy. By using the matching features, you consent to this data sharing.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where required by law.

4. Startup-Specific Terms

If you use the Platform as a startup, the following additional terms apply:

4.1 Financial Data Usage

Financial data you provide, including revenue, burn rate, runway, and funding history, is used solely for the purpose of capital stack optimisation and investor matching. We process this data as described in our Privacy Policy.

4.2 Grant Eligibility

Grant eligibility assessments provided by the Platform are estimates only and do not guarantee that you will be eligible for or receive any grant. Grant programmes have their own eligibility criteria, application processes, and selection decisions that are outside our control.

4.3 Dilution Calculations

Dilution calculations and scenario models are mathematical models based on the inputs you provide and standard financial modelling assumptions. They are provided for informational purposes and do not constitute financial advice. Actual dilution outcomes will depend on the specific terms negotiated in your funding rounds.

4.4 Readiness Scores

Readiness Scores are internal metrics generated by our proprietary algorithms based on the data you provide. These scores are designed to help you assess and improve your funding preparedness. They should not be represented to third parties as certified ratings, accreditations, or endorsements by Grantverse.

5. Investor-Specific Terms

If you use the Platform as an investor, the following additional terms apply:

5.1 Startup Profile Data

Startup profiles displayed on the Platform are based on self-reported data provided by the startups themselves. Grantverse does not independently verify the accuracy, completeness, or truthfulness of information provided by startups, including financial metrics, traction data, team information, or any other claims.

5.2 Introductions Are Not Recommendations

Introductions and matches facilitated through the Platform are not investment recommendations. A match or introduction does not imply that Grantverse endorses, recommends, or vouches for any startup, its founders, its business model, or its financial prospects.

5.3 Due Diligence

Investors are solely responsible for conducting their own due diligence before making any investment decisions. You should independently verify all information, assess risks, and seek advice from qualified financial, legal, and tax advisors before committing capital.

5.4 Regulatory Status

Grantverse is not a broker-dealer, investment adviser, or funding portal under the regulations of the U.S. Securities and Exchange Commission (SEC) or equivalent regulatory bodies in the European Union. The Platform does not facilitate securities transactions, hold client funds, or provide personalised investment advice.

6. Subscription Plans & Billing

Grantverse offers both free and paid subscription tiers. Details of available plans and their features are described on our pricing page.

6.1 Billing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorise us to charge your designated payment method on a recurring basis (monthly or annually, depending on your selected plan) until you cancel. All fees are quoted in the currency displayed at the time of purchase and are inclusive of applicable taxes unless otherwise stated.

6.2 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial monthly billing periods.

6.3 Refund Policy

For monthly subscriptions, no refunds are provided for partial months. For annual subscriptions, if you cancel within the first 14 days, you are entitled to a full refund. After 14 days, a pro-rata refund will be issued for the remaining unused full months of your subscription. All other refunds are at Grantverse's sole discretion.

6.4 Auto-Renewal Notifications

We will send you an email reminder at least 7 days before each automatic renewal of your subscription to the email address associated with your account. This reminder will include the renewal date, the amount to be charged, and instructions for how to cancel if you wish to do so. It is your responsibility to ensure that your email address is current and that you check for these notifications.

6.5 Price Changes

We may change our subscription fees from time to time. We will provide you with at least 30 days' notice of any price increase. The new price will apply at the start of your next billing cycle following the notice period.

7. Legal Document Templates

Grantverse provides access to a library of legal document templates as part of certain subscription plans. By using these templates, you acknowledge and agree that:

• Templates are provided for informational and educational purposes only and do not constitute legal advice.
• Grantverse is not a law firm and does not provide legal services. The availability of templates does not create an attorney-client relationship.
• You should consult a qualified attorney before using any template for your specific legal needs, as laws vary by jurisdiction and circumstance.
• Grantverse is not liable for any outcomes, losses, or damages resulting from your use of the legal templates.
• Templates may not reflect the most recent legal developments and may not be suitable for your particular situation.

8. Intellectual Property

Our Property:The Platform, including its design, code, algorithms, features, branding, logos, and all content created by Grantverse, is the intellectual property of Grantverse OÜ and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any of our proprietary content without our express written consent.

Your Data: You retain full ownership of any data, content, and information you submit to the Platform. By using the Platform, you grant us a limited, non-exclusive, worldwide licence to use, process, store, and display your data solely for the purpose of providing and improving our services, including generating capital stack recommendations, readiness scores, and facilitating investor matches.

Templates: Legal templates provided through the Platform are licensed to you for your personal or business use, not sold. You may use templates for your own legal documents but may not redistribute, resell, or sublicence the templates themselves.

8.1 Feedback & Suggestions

If you provide us with feedback, suggestions, ideas, or other submissions ("Feedback"), you grant Grantverse OÜ a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual licence to use, modify, and incorporate such Feedback into our products and services without any obligation to compensate you. You acknowledge that Feedback is provided voluntarily and that we are under no obligation to use, implement, or respond to any Feedback.

9. Prohibited Uses

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Submit false, misleading, or fraudulent financial data, company information, or any other information to the Platform.
• Use automated scripts, bots, scrapers, or other automated means to access, collect data from, or interact with the Platform without our express written permission.
• Use the Platform to facilitate fraud, money laundering, or any other illegal financial activity.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Platform, including scoring algorithms, matching algorithms, or capital stack models.
• Attempt to gain unauthorised access to any part of the Platform, other user accounts, or our systems and infrastructure.
• Use the Platform to send spam, unsolicited communications, or for any form of harassment.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Platform in any way that could damage, disable, or impair the Platform or interfere with other users' experience.

9.1 AI-Specific Acceptable Use

Grantverse uses artificial intelligence, including large language models provided by Anthropic (Claude), to power features such as win probability predictions, capital stack narratives, and grant eligibility analysis. When interacting with AI-powered features, you additionally agree not to:

• Attempt to manipulate, "jailbreak", or circumvent the safety mechanisms of any AI model used by the Platform, including through prompt injection or adversarial inputs.
• Use AI-generated outputs (including win probabilities, narratives, or recommendations) as the sole basis for financial, legal, or investment decisions without independent professional advice.
• Represent AI-generated content as human-authored professional advice, certified analysis, or official endorsement by any third party.
• Systematically extract, scrape, or harvest AI-generated outputs for the purpose of building competing products or training other AI models.

AI-generated outputs are probabilistic estimates and may contain errors. You acknowledge that AI features are provided "as is" and that Grantverse does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.

Violation of these rules may result in immediate suspension or termination of your account and may also result in legal action.

10. Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

11. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• No Guarantee of Funding: Grantverse does not guarantee that you will receive funding, grants, or investment as a result of using the Platform. Matching and recommendations are provided as tools to aid your fundraising efforts.
• Not Investment Advice: The information and tools provided on the Platform do not constitute investment advice. You should consult qualified financial advisors before making investment decisions.
• Not Legal Advice: Legal templates and related content are provided for informational purposes only and do not constitute legal advice. Consult a qualified attorney for legal matters.
• Templates "As Is": Legal document templates are provided without any warranty of fitness for a particular purpose. We do not guarantee their accuracy, completeness, or suitability for your specific legal needs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANTVERSE OÜ, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Without limiting the foregoing, Grantverse shall not be liable for any investment outcomes, grant application results, or financial losses arising from your use of capital stack recommendations, readiness scores, dilution calculations, or investor matches provided through the Platform.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO GRANTVERSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Grantverse OÜ, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Platform.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content or data you submit to the Platform.
• Your use of legal templates obtained through the Platform.

14. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your account or contacting us at legal@grantverse.io.

Grantverse may suspend or terminate your account and access to the Platform immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Platform or other users. We will provide notice of the reasons for suspension or termination where practicable and permitted by law.

14.1 Data Export on Termination

Upon termination or account deletion, you will have a 30-day window to export your data via the Platform's data export feature or by contacting us at support@grantverse.io. After this 30-day period, your personal data will be permanently deleted in accordance with our Privacy Policy, except where retention is required by applicable law.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including, without limitation, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

15. Force Majeure

Grantverse shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions or orders, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. During a force majeure event, our obligations under these Terms will be suspended for the duration of the event.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia. Notwithstanding the foregoing, if you are a consumer located in the EU, you may also bring proceedings in the courts of the member state in which you are domiciled.

If you are a user located in the United States, you acknowledge that Grantverse OÜ is an Estonian entity and that these Terms are governed by Estonian law. By using the Platform, you consent to the jurisdiction of Estonian courts for the resolution of any disputes.

17. Changes to Terms

We may update these Terms from time to time. We will provide you with at least 30 days' advance notice of any material changes via email (to the address associated with your account) or by posting a prominent notice on the Platform.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may request deletion of your account.
